Terms of Service
1. Introduction and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Molinia B.V., a private limited company incorporated under Dutch law with registered offices in Amsterdam, the Netherlands ("Molinia", "we", "us", or "our"), governing your access to and use of the Molinia data platform and related services ("Service").
The Service comprises a cloud-hosted data warehousing, ingestion, transformation, and analytics platform built on DuckDB, providing facilities for data ingestion from external sources, SQL-based transformation and querying, secure data storage, and controlled data sharing with authorised third parties.
By clicking "I agree", creating an account, or otherwise accessing or using the Service, you accept and agree to be bound by these Terms and ourPrivacy Policy, which are incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.
If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" will refer to that entity.
2. Eligibility
To use the Service you must:
- Be at least 18 years of age;
- Have the legal capacity to enter into binding contracts under the law of your jurisdiction;
- Not be prohibited from receiving or using the Service under any applicable law or regulation, including export control laws; and
- Where acting on behalf of an organisation, have authority to bind that organisation.
By using the Service you represent and warrant that you meet all of the above requirements. Molinia reserves the right to refuse access to, or to terminate accounts of, anyone who does not meet these requirements.
3. Account Registration and Security
To access most features of the Service you must register an account. You agree to:
- Provide accurate, current, and complete information during registration and keep your account information up to date;
- Select a strong password and maintain the confidentiality of your login credentials; you must not share your credentials with any other person;
- Notify Molinia immediately atsecurity@unpinned.nlif you become aware of any unauthorised use of your account or any other breach of security; and
- Accept responsibility for all activity that occurs under your account, whether or not authorised by you.
Molinia is not liable for any loss or damage arising from your failure to comply with this section. One account is permitted per natural person; you must not create multiple accounts to circumvent usage limits, suspensions, or access restrictions.
Organisation accounts may add multiple users ("Members"). The account owner is responsible for all Members' compliance with these Terms and for their use of the Service.
4. Service Plans and Payment
The Service is offered under various subscription plans ("Plans"), the details of which (including features, usage limits, and pricing) are set out on our pricing page or in an Order Form agreed between the parties. All prices are stated exclusive of VAT and other applicable taxes unless expressly stated otherwise.
Billing. Fees are billed in advance on a monthly or annual basis as specified in your Plan. Payment is due on the date specified in the invoice. Molinia uses industry-standard payment processors; your payment details are processed and stored by those processors subject to their own terms and privacy policies.
Late payment. If any amount is not paid when due, Molinia may suspend or restrict your access to the Service after providing at least 7 days' written notice. Statutory interest may apply to overdue amounts under Dutch law.
Plan changes. You may upgrade or downgrade your Plan at any time. Upgrades take effect immediately on a pro-rata basis. Downgrades take effect at the start of the next billing cycle.
Price changes. Molinia may change pricing with at least 30 days' notice. Continued use of the Service after the effective date of a price change constitutes acceptance.
No refunds. Payments are non-refundable except where required by applicable law or as otherwise agreed in writing.
5. Acceptable Use
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right;
- Process or transmit personal data in violation of the GDPR or other applicable data protection legislation;
- Upload, store, or transmit any content that is unlawful, harmful, defamatory, obscene, infringing, or that violates any person's privacy;
- Introduce malware, viruses, or other malicious code into the Service or connected systems;
- Conduct any form of denial-of-service attack, penetration testing, or vulnerability scanning against the Service or its infrastructure without prior written consent from Molinia;
- Attempt to gain unauthorised access to any part of the Service, its related systems, or the accounts of other customers;
- Reverse-engineer, decompile, or disassemble any part of the Service, except as expressly permitted by applicable law;
- Resell, sublicense, or otherwise make the Service available to third parties except as expressly permitted by your Plan or an Order Form; or
- Circumvent or disable any security feature, access control, or usage limit of the Service.
Molinia reserves the right to investigate suspected violations of this section and may suspend or terminate your account without notice if a serious or ongoing violation is identified.
6. Customer Data
Ownership. You retain all right, title, and interest in and to the data you upload, ingest, or create using the Service ("Customer Data"). These Terms do not transfer any ownership of Customer Data to Molinia.
Licence to process. You grant Molinia a limited, non-exclusive, revocable licence to access, process, store, and transmit Customer Data solely as necessary to provide the Service and as set out in ourPrivacy Policyand, where applicable,Data Processing Agreement.
Your responsibility. You are solely responsible for the accuracy, quality, integrity, and legality of Customer Data, and for ensuring that you have all necessary rights, consents, and permissions to upload and process Customer Data using the Service, including any personal data of third parties.
Data export. During the term of your subscription and for 30 days following termination, you may export your Customer Data in machine-readable formats supported by the Service. After this period, Molinia will delete Customer Data in accordance with its data retention policy.
7. Confidentiality
Each party ("Receiving Party") may have access to information of the other party ("Disclosing Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information ("Confidential Information"). Confidential Information includes, without limitation: technical and business information, pricing, and Customer Data.
The Receiving Party agrees to: (a) hold Confidential Information in strict confidence using at least the same degree of care as it uses for its own confidential information (but no less than reasonable care); (b) use Confidential Information only to exercise its rights and fulfil its obligations under these Terms; and (c) not disclose Confidential Information to third parties without the Disclosing Party's prior written consent, except to employees or contractors who need to know it and are bound by obligations of confidentiality no less protective than those in these Terms.
These obligations do not apply to information that: (i) is or becomes publicly available through no fault of the Receiving Party; (ii) was rightfully known to the Receiving Party before receipt; (iii) is rightfully received from a third party without restriction; or (iv) is required to be disclosed by law or court order, provided the Receiving Party gives prompt notice to the Disclosing Party (to the extent legally permitted) and cooperates in seeking protective measures.
8. Intellectual Property
Molinia IP. The Service, including all software, algorithms, interfaces, design elements, documentation, and other materials provided by Molinia, are and remain the exclusive property of Molinia B.V. and its licensors. Nothing in these Terms grants you any ownership interest in or to the Service.
Licence to use. Subject to your compliance with these Terms and timely payment of all applicable fees, Molinia grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during the term of your subscription, solely for your internal business purposes.
Feedback. If you submit suggestions, ideas, or other feedback regarding the Service ("Feedback"), you grant Molinia a perpetual, irrevocable, royalty-free licence to use, modify, and incorporate such Feedback into the Service without any obligation to you.
Trademarks. The Molinia name, logo, and product names are trademarks of Molinia B.V. You may not use these marks without our prior written permission.
9. Data Protection and Privacy
Molinia processes personal data in accordance with applicable EU data protection law, including the General Data Protection Regulation (GDPR). The collection and use of personal data relating to you and your account is described in ourPrivacy Policy.
Where you upload Customer Data that contains personal data of third parties and Molinia processes that data on your behalf, the parties shall execute aData Processing Agreement("DPA"). The DPA forms part of these Terms and governs Molinia's obligations as a data processor under the GDPR. By accepting these Terms you also accept the DPA.
You are responsible for ensuring that your collection and transfer of personal data to the Service has a lawful basis and that data subjects have been given appropriate notice of processing in accordance with GDPR Articles 13 and 14.
10. Service Availability and Support
Availability target. Molinia targets 99.5% monthly uptime for the Service, excluding scheduled maintenance windows and circumstances outside Molinia's reasonable control. Any applicable uptime commitments and remedies are set out in a separate Service Level Agreement ("SLA"), if provided under your Plan.
Maintenance. Molinia may perform scheduled maintenance that temporarily interrupts access to the Service. We will provide reasonable advance notice (typically 48 hours) of scheduled maintenance via the status page at status.molinia.eu or by email notification.
Support. Technical support is provided via the in-application help system and email athello@unpinned.nl. Support response times and scope depend on your Plan. Molinia does not guarantee resolution times for all issues.
Modifications. Molinia may modify, update, or discontinue features of the Service at any time. We will endeavour to provide advance notice of significant changes. In the event a feature is permanently discontinued, we will provide at least 30 days' notice.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Molinia does not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) results obtained from the use of the Service will be accurate or reliable; or (d) any errors in the Service will be corrected.
Where applicable law does not allow the exclusion of implied warranties, those warranties shall apply to the minimum extent required by law.
12. Limitation of Liability
Exclusion of consequential loss. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOLINIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF MOLINIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Cap on liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOLINIA'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO MOLINIA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED EUROS (€100).
Exceptions. Nothing in these Terms shall limit or exclude Molinia's liability for: (a) death or personal injury caused by Molinia's negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be limited or excluded under Dutch law.
13. Indemnification
You agree to defend, indemnify, and hold harmless Molinia and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your Customer Data; (c) your violation of these Terms; or (d) your infringement of any third-party right.
Molinia will notify you promptly of any such claim, cooperate reasonably at your expense in its defence, and reserve the right to assume exclusive control of the defence of any matter subject to indemnification at your expense.
14. Term and Termination
Term. These Terms are effective from the date you first accept them and continue for the duration of your subscription or, if no subscription is active, until terminated.
Termination by you. You may terminate your account at any time by cancelling your subscription through the account settings or by contactinghello@unpinned.nl. Termination takes effect at the end of the current billing period; no refund is provided for the unused portion of a prepaid period except as required by law.
Termination by Molinia. Molinia may suspend or terminate your access to the Service: (a) immediately, without notice, for material breach of these Terms (including prohibited use); (b) with 30 days' written notice for any reason; or (c) upon your insolvency, bankruptcy, or cessation of business.
Effects of termination. Upon termination: (a) your right to access the Service ceases immediately; (b) all outstanding fees become immediately due and payable; and (c) Molinia will delete or anonymise your Customer Data within 30 days of the account closure date, unless a longer retention is required by law or specifically requested by you in writing before closure.
Sections 6 (Customer Data – export window), 7 (Confidentiality), 8 (Intellectual Property), 12 (Limitation of Liability), 13 (Indemnification), and 15 (Governing Law) survive termination.
15. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
Any dispute arising out of or in connection with these Terms that cannot be resolved amicably through good-faith negotiations within 30 days of written notice shall be subject to the exclusive jurisdiction of the competent courts of Amsterdam, the Netherlands.
Nothing in this section prevents either party from seeking urgent injunctive or other equitable relief from any court of competent jurisdiction to protect its intellectual property or confidential information.
16. General Provisions
Entire agreement. These Terms, together with the Privacy Policy, DPA, and any applicable Order Form or SLA, constitute the entire agreement between you and Molinia and supersede all prior or contemporaneous agreements relating to the Service.
Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum necessary, and the remaining provisions will remain in full force and effect.
Waiver. Failure by Molinia to enforce any provision of these Terms shall not be deemed a waiver of future enforcement of that or any other provision.
Assignment. You may not assign or transfer these Terms or any rights hereunder without Molinia's prior written consent. Molinia may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, provided the assignee agrees to be bound by these Terms.
Force majeure. Neither party is liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, war, terrorism, labour disputes, government actions, or failures of third-party internet or utility infrastructure.
Notices. Notices to Molinia shall be sent tolegal@unpinned.nlor to the address set out in our imprint. Notices to you shall be sent to the email address associated with your account.
17. Changes to These Terms
Molinia reserves the right to modify these Terms at any time. We will notify you of material changes with at least 30 days' advance notice via email or a prominent notice within the Service. The updated version number and effective date will be reflected at the top of this page.
If you continue to use the Service after the effective date of revised Terms, you will be deemed to have accepted the changes. If you do not agree to the revised Terms, you must stop using the Service and close your account before the effective date.
